The Corporate Incorporators
The Corporate Incorporators are the individuals or entities responsible for forming and establishing a corporation. They are typically the founding members who take the necessary legal and procedural steps to register the organization with the appropriate government agencies, such as the Securities and Exchange Commission (SEC).
In general, the Incorporators are the signatories of the Articles of Incorporation and By-Laws, and they play a crucial role in setting up the foundational structure of the corporation. They are responsible for defining the corporation’s purpose, initial capital structure, and governance framework.
They are:
- Atty Pedro Leslie “FRMG PLS” Salva;
- PCOL Steve “SGF SKIPPER” A. Martir;
- Judge Arthur “FRMG COMET” N. Abudiente;
and on the sideline, Fernando “FRMG ELSEWHERE” Malamion.
The Incorporators may be individuals, such as founders, entrepreneurs, or key stakeholders, or they can be legal entities like other corporations or organizations that wish to establish a new corporate entity. Once the corporation is duly registered and recognized as a legal entity, the Incorporators often transition their roles to the Board of Directors or other governing bodies, depending on the organization’s structure and laws governing corporations in their jurisdiction.
